Signing of an Annex to the overdraft agreement by the Subsidiary Company of the Issuer

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17 hereby informs that it obtained information about signing on 28 March 2013 of an Annex to the overdraft agreement by Torpol S.A. – subsidiary company. 

The lender is Bank Zachodni WBK S.A., with its registered office in Wrocław;

The borrower is TORPOL S.A., with its registered office in Poznań; 

The subject matter of the agreement is changing of the overdraft agreement terms and conditions.

Terms and conditions of the agreement: 
Extension of the financed period until 31.05.2013;

The financed amount is: 
            - PLN 25,000,000.00 until 10.04.2013;     
            - PLN 12,500,000.00 from 11.04.2013 until the end of the financed period;           

The interest rate and collaterals have been defined on arm’s length basis; 

The value of POLIMEX-MOSTOSTAL S.A. equity capital has been assumed to be the criterion for considering the Agreement to be material.
