Discontinuation of bankruptcy proceedings

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw („Company”, „Issuer”) hereby informs that today it has lodged a claim with the Regional Court in Warsaw, XX Commercial Division to order the previous members of the Company’s Management Board: Konrad Jaskóła, Aleksander Jonek, Zygmunt Artwik, Grzegorz Szkopek, jointly and severally, to pay damages in the amount of PLN 4,358,258.74 together with the cost of the proceedings. 

The Issuer in the proceedings requests the recovery of such claims as:  (i) claim for indemnification in connection with the individual and consolidated financial statements prepared by the company for the financial year ended on 31 December 2011 and interim financial statements for 2011, which did not comply with the requirements provided by law and contained unreliable data, (ii) claim for indemnification resulting from failure to execute or inadequate execution of responsibilities incumbent on the company, which are referred to in
Art. 56 of the Act dated 29 July 2005 on public offer and conditions of organised trade in financial instruments, and on public companies, including the claim for indemnification resulting from imposing a penalty penayment on the Company by decision of the Polish Financial Supervision Commission (Komisja Nadzoru Finansowego) referred to in the current report no. 158/2014 dated 21 October 2013.
