Restructuring of Capital Group Polimex-Mostostal S.A.

The Company’s Management Board informs that on 27 August 2009 it passed strategicresolution to reorganize Capital Group Polimex-Mostostal S.A..

It will consist of acquiring of 100% of companies’ shares through including them into thestructures of Mostostal S.A.. The following companies will be covered with this process:EnergomontaŜ Północ S.A., Naftobudowa S.A., Naftoremont Sp. z o.o., ZRE Kraków Sp. z o.o.,ZRE Lublin Sp. z o.o., EPE Rybnik Sp. z o.o. oraz ECe Remont Sp. z o.o..

Conducting of the said restructuring process will require, among others, the consents of statutorycorporate bodies of the interested entities.

The goal of this restructuring process is the full consolidation of results of the Group companies,as well as, among others: decreasing of the management costs and other costs incurred by theGroup, gaining further market advantage in the perspective industries, obtaining Group’stransparency by simplification of its structure, unification of managing systems, and increasingcomplementary character of the rendered services.

Legal basis: Article 56 section 1 point 1 of the act of public offering and conditions for implementing financialinstruments to the organized system of economic turnover, and public companies.
