obtainment of advance payment reimbursement guarantee from PKO BP S.A.

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17 (hereinafter referred to as the ‘Company’) hereby informs that on 20 November 2012 it obtained from Powszechna Kasa Oszczędności S.A. an advance payment reimbursement guarantee regarding a contract for the ‘Construction of a bituminous coal power unit for supercritical parameters of the maximum output of 1,075 MWe for ENEA Wytwarzanie S.A.’ concluded on 21 September 2012 between the Company and Hitachi Power Europe GmbH and Enea Wytwarzanie S.A. The value of the guarantee amounts to PLN 268,140,000.00, and the guarantee shall be valid until 21 August 2017. The collateral and the amount of commission have been agreed upon on market terms. The value of the Issuer's equity capital has been assumed to be the criterion for considering the contract to be material.

Funds from the advance payment which shall be paid by Enea will be credited to deposit accounts, and they shall first be released by Bank Polski S.A. upon conclusion by Polimex-Mostostal S.A. of a final agreement with financial creditors.
