New term of the Management Board of Polimex-Mostostal S.A.

The Management Board of Polimex-Mostostal S.A. hereby informs that the Supervisory Board of Polimex-Mostostal S.A., acting on the basis of article 369 § 1 of the Commercial Companies Code, at the meeting held on 18 May 2010, appointed the following persons for the next term (beginning on the Ordinary General Meeting of Stockholders of the Issuer accepting the financial statements for the financial year of 2009) as members of the Management Board of the Company:
1) Konrad Jaskóła - for the position of the President of the Management Board;
2) Aleksander Jonek - for the position of the Vice-President of the Management Board;
3) Grzegorz Szkopek - for the position of the Vice-President of the Management Board;
4) Zygmunt Artwik - for the position of the Vice-President of the Management Board;

Konrad Karol Jaskóła – President of the Management Board, General Director.
Konrad Jaskóła has a university degree. He graduated from the Silesian Technical University in Gliwice achieving the degree of chemical engineer. Konrad Jaskóła also graduated from postgraduate studies at the Warsaw School of Economics in Warsaw.
Konrad Jaskóła does not perform any work outside of the Issuer and the subsidiary companies of the Issuer except for being a member of the Supervisory Board of the company not related by capital to the Issuer (Multimedia Polska S.A.). Before he was appointed as a member of the Management Board of the Issuer, Konrad Jaskóła had been the President of the Supervisory Board of Mostostal Siedlce S.A. (until 19 November 2003).
Career and positions:
- between 1974 and 1982: production engineer and plant manager in Petrochemia Płock;
- between 1982 and 1992: Production Director in Petrochemia Płock;
- between 1992 and 1999: President of the Management Board and General Director of Petrochemia Płock;
- between 1999 and 2001: Vice-President of the Management Board of Polimex-Cekop S.A.;
- between 2001 and 2004: President of the Management Board of Polimex-Cekop S.A.;
- from 2004 until now: President of the Management Board of Polimex-Mostostal S.A.;
- member of supervisory boards of Polimex-Mostostal Capital Group companies.
Konrad Jaskóła has represented that apart from the Company he does not perform any activity that may be competitive to operations of the Company, he is not a partner in any competitor civil or commercial partnership, a body member a of a capital partnership or a body member of any competitive legal entity, he is not listed in the register of insolvent debtors kept on the basis of the Act on the National Court Register.

Aleksander Hubert Jonek - Vice-President of the Management Board
Aleksander Jonek has a university degree. He graduated from the AGH University of Science and Technology in Cracow achieving the degree of the engineer. Moreover, in 1992 he graduated from the Austriacko-Polska Szkoła Kadry Menedżerskiej WIFI-DOSKO.
Aleksander Jonek does not perform any work outside of the Issuer and the subsidiary companies of the Issuer.Career and positions:

- between 1973 and 1976: employed in Rafako Racibórz at a number of positions – from a trainee to department manager;

- from 1976: employed in Mostostal Siedlce S.A. as the Deputy Director for Production;

- between 1980 - 2004: General Director and President of the Management Board of Mostostal Siedlce S.A.;
- from 2004 until now: Vice-President of the Management Board of Polimex-Mostostal S.A.;
- member of supervisory boards of Polimex-Mostostal Capital Group companies.
Aleksander Jonek has represented that apart from the Company he does not perform any activity that may be competitive to operations of the Company, he is not a partner in any competitor civil or commercial partnership, a body member of a capital partnership or a body member of any competitive legal person, he is not listed in the register of insolvent debtors kept on the basis of the Act on the National Court Register.

Grzegorz Krzysztof Szkopek - Vice-President of the Management Board
Grzegorz Szkopek has a university degree. He graduated from law department at Łódź University with the M.Sc. degree. Moreover, he graduated from postgraduate studies in the field of Management in the Oil Sector and Goodwill Management at Warsaw School of Economics in Warsaw.
Grzegorz Szkopek does not perform any work outside of the Issuer and the subsidiary companies of the Issuer. Career and positions:
- between 1995 and 1996: Director and then General Director in the Ministry of Justice;
- between 1996 and 2000: Member of the Management Board, Director for Human Resources in Petrochemia Płock S.A.;

- between 2000 - 2002: Vice-President of Naftobudowa S.A.;

- between 2002 - 2004: member of the Management Board of Polimex Cekop S.A.;

- 2004 until now: Vice-President of the Management Board of Polimex-Mostostal S.A.;

- member of supervisory boards of Polimex-Mostostal Capital Group companies. 
Grzegorz Szkopek has represented that apart from the Company he does not perform any activity that may be competitive to operations of the Company, he is not a partner in any competitor civil or commercial partnership, a body member of a capital partnership or a body member of any competitive legal person, he is not listed in the register of insolvent debtors kept on the basis of the Law on the National Court Register.

Zygmunt Jan Artwik - Vice-President of the Management Board Zygmunt Artwik has a university degree. He graduated from Częstochowa Technical University achieving the degree of electric engineer. Moreover, Zygmunt Artwik graduated from HR management courses, project management courses, and risk management courses. From 1999, Zygmunt Artwik has been a member of the Management Board of the Polish Committee of Electric Energy. Zygmunt Artwik does not perform any work outside of the Issuer and the subsidiary companies of the Issuer. Career and positions:
- between 1976 and 1979: Manager on Duty for 2 x 200 MW power units in Kozienice power plant;

- between 1979 and 2000: Vice-President of the Management Board, Technical Director in Połaniec Power Plant;
- between 2000 and 2003: Vice-President of the Management Board, Business Development Director in Elektrim Megadex S.A.;

- from 2003 until now: Director of Power Department, Vice-President of the Management Board of Polimex-Mostostal S.A. He cooperates with companies of the Issuer’s Capital Group;
- member of the Supervisory Board of one of Polimex-Mostostal Capital Group companies.
Zygmunt Artwik has represented that apart from the Company he does not perform any activity that may be competitive to operations of the Company, he is not a partner in any competitor civil or commercial partnership, a body member of a capital partnership or a body member of any competitive legal person, he is not listed in the register of insolvent debtors kept on the basis of the Act on the National Court Register.
