Execution of an amendment agreement to the property sales agreements

Legal basic: Article 17(1) MAR

In reference to current reports No. 98/2017 dated 30.11.2017 and No. 5/2018 dated 08.02.2018, the Management Board of “Polimex-Mostostal” SA with its seat in Warsaw (”the Company”) announces that today the Company has executed an agreement amending the preliminary sales agreement of perpetual usufruct rights and conditional agreement for the sale of perpetual usufruct (The “Amendment Agreement”), the subject of which are real estate properties located in Stalowa Wola, gmina Stalowa Wola, district of Stalowa Wola, Podkarpackie voivoodship for which the District Court in Stalowa Wola VI Department of Land and Mortgage Register maintains land and mortgage register KW No. TB1S/00023595/4, KW No. TB1S/00012224/3, KW No. TB1S/00012225/0.

Under the Amendment Agreement, the following items have been amended, i.a.: (i) specified in the Preliminary Sales Agreement the maximum period for the conclusion of an agreement transferring the ownership to April 30, 2018; (ii) specified in the Binding Agreement the date by which the company may withdraw from the Preliminary Agreement of the Binding Agreement, in the event of non-performance by the buyer of its obligations-to June 30, 2018.

The other substantial/relevant provisions of the Sales Agreement remain unchanged.

The sale of the Real Property is part of the agreement executed with financial creditors on the conditions for handling of the Company’s financial debt.
