Court registration of a change of the amount and structure of the Issuer’s business capital

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17 notifies that it obtained the information about registration on 29 March 2011 by the District Court for the capital city of Warsaw, XII Commercial Division of the National Court Register, of a change of the amount and structure of Polimex-Mostostal S.A. business capital as a result of:

1.   exercise, as part of a conditional increase of the Company’s business capital, of the right to take up 118,749 series G bearer shares of the Company resulting from subscription warrants, at the issue price of PLN 2.35 per share (total issue price of PLN 279,060.15) and the nominal value of PN 0.04 per share (total nominal value of PLN 4,749.96),

2.   contribution in the entirety to the taking up of the aforementioned shares.

Following registration of the change of the amount and structure, business capital of Polimex-Mostostal S.A. amounts to PLN 20,846,163.04 (twenty million eight hundred forty-six thousand one hundred sixty-three point zero four) and is divided into 521,154,076 (five hundred twenty one million one hundred fifty-four thousand seventy-six) equity shares of the nominal value of 4 (four) grosz each, including:

1)  65,050 (sixty-five thousand fifty) ordinary registered shares of series A,

2)  381,147,225 (three hundred eighty-one million hundred forty-seven thousand two hundred twenty-five) ordinary bearer shares of series A through F,

3)  235,873 (two hundred thirty-five thousand eight hundred seventy-three) ordinary bearer shares of series G,

4)  25,822,625 (twenty-five million eight hundred twenty-two thousand six hundred twenty-five) ordinary bearer shares of series H,

5)  57,320,725 (fifty-seven million three hundred twenty thousand seven hundred twenty-five) ordinary bearer shares of series I,

6) 38,733,090 (thirty-eight million seven hundred thirty-three thousand ninety) ordinary bearer shares of series K,

7) 17,829,488 (seventeen million eight hundred twenty-nine thousand four hundred eighty-eight) ordinary bearer shares of series L,

entitling to 521,154,076 (five hundred twenty-one million one hundred fifty-four thousand seventy-six) votes at the General Meeting of the Company.
