Confidential information - Creditors’ consent to postpone the deadline for performance of certain obligations
With reference to current report no. 17/2014 dated 1 February 2014 with regard to breach by "Polimex-Mostostal" S.A. with its registered office in Warsaw of Agreement dated 21 December 2012 concluded by Polimex-Mostostal S.A. with its registered office in Warsaw (“the Company”) with the banks and bondholders (“the Creditors”) specifying terms and conditions of financing the Company by the Creditors (“the Agreement”) consisting in failure of the Company to make due payment for the Creditors being the party to the Agreement, the Management Board of the Company informs that on 14 February 2014 it obtained the information on the all Creditors’ consent for waiver by the Creditors of rights arising from occurrence of breach of the Agreement for failure to pay by the Company to the Creditors being the party to the Agreement of (i) interest on credits covered by the Agreement, (ii) interest on receivables of bondholders covered by the Agreement and (iii) recourse claims due to the guarantees issued by the banks being party to the Agreement. The Company was obligated by the Creditors to fulfill the aforementioned obligations by 30 April 2014.
At the same time, the Company informs that said Creditors’ consent for postponing the deadline for making payments by the Company for the Creditors also comprises: (i) the obligations of the Company arising from the abovementioned issues, the payment of which was due 31 January 2014 as well as (ii) the obligations of the Company arising from the abovementioned issues, the payment of which would become due and payable, pursuant to the provisions of the Agreement concluded between the Company and the Creditors, in the period between 31 January 2014 and 30 April 2014.
