Confidential information – cessation of a material breach of a contract
With reference to current report no. 81/2013 dated 4 June 2013 pertaining to a breach of the contract dated 21 December 2012 regarding the rules of the Company’s financial debt management (hereinafter referred to as the ‘Contract’), the Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw (hereinafter referred to as the ‘Company’) hereby informs that on 18 June 2013 they received from Powszechna Kasa Oszczędności Bank Polski S.A. (hereinafter referred to as ‘PKO BP’) a waiver of the rights due to PKO BP and arising from a breach of the Contract involving the General Meeting of the Company failing to pass and register with the register of entrepreneurs of the National Court Register by 3 June 2013 of the amendment to the Articles of Association of the Company incorporating therein PKO BP rights to appoint and dismiss two members of the Supervisory Board of the Company.
PKO BP’s waiver of the rights arising from the aforementioned breach of the Contract shall remain effective until members of the Supervisory Board of the Company appointed by PKO BP to perform the role of members of the Supervisory Board of the Company and appointed to that end pursuant to resolutions of the General Meeting of the Company held on 3 June 2013 are dismissed, submit statements of resignation or cease to perform the role for whatever reason.
On the date of this report there continue to exist breaches of the Contract of which the Company informed in current reports no. 72/2013 dated 29 May 2013 as well as nos. 75/2013 and 76/2013 dated 1 June 2013.
