Conclusion of a material contract

The Management Board of Polimex -Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17 informs that on 8 June 2011 the Company and Echo – 55 Sp. z o.o., with its registered office in Kielce, signed an agreement regarding general contractorship of the ‘Olimpia’ Shopping Centre building in Bełchatów.

Lump-sum remuneration agreed upon between the Parties and regarding the execution of the subject matter of the Contract amounts to PLN 80,300,000.00 net.

Moreover, the Parties agreed that the total amount of conventional penalties due to non-performance or inadequate performance of the subject matter of the Contract may not exceed 10% of net contractual remuneration.

The value of the Issuer's equity capital has been assumed to be the criterion for considering the Contract to be material.
