Conclusion of a material contract

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17 informs that today it has signed the contract for designing, delivering and installation together with starting the telecommunication facilities under the contract for Designing and execution of construction works for the Modernisation of the railway line E75 Rail Baltica along the section Warsaw - Białystok - the border with Lithuania, the first stage, Warsaw - Rembertów - Zielonka - Tłuszcz (Sadowne) section by the Subsidiary company operating under the company name Torpol S.A.

The parties to the contract: Contractor: TORPOL S.A. with its registered office in Poznań,

                   Subcontractor: Przedsiębiorstwo Handlowo-Usługowe Elektro-Tel-Bud Robert Mąka,

                                            with its registered office in Olsztyn

Terms and conditions of the contract: net remuneration: PLN 36 648 330.28 PLN 45 077 446.24;

Execution period: 33 months of the commencement date, i.e. of 20.12.2012.

 The period of reporting defects is 36 months;

The maximum amount of contractual penalties that the Contractor can pay is 30% of the gross contract price, however in the case of non-performance or improper performance of the contract by the Subcontractor wherein the damage exceeds the amount of contractual penalties, the contractor may claim supplemental compensation.

The value of the Issuer's equity capital has been assumed to be the criterion for considering the Contract to be material.
