Conclusion of a material Agreement

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw (hereinafter referred to as the “Company”), hereby informs that on 3 June 2013 there has been signed subcontracting agreement (hereinafter referred to as the “Subcontracting Agreement”) with Babcock-Hitachi Kabushiki Kaisha (hereinafter referred to as the “General Contractor”) for the execution of major erection and construction works as a part of building exhaust gas desulphurisation system no. IV in Kozienice Power Plant for Enea Wytwarzanie S.A. (hereinafter referred to as the “Ordering Party”).

The Company’s remuneration for execution of works as a part of Subcontracting Agreement amounts to PLN 63.900.000 (PLN sixty-three million nine hundred thousand) increased by the value of VAT tax.

Pursuant to Subcontracting Agreement, the commencement of works shall take place on 15 June 2013, and their completion and acceptance of the construction site by the General Contractor shall take place on 15 February 2013.

Performance bond constitutes the collateral of appropriate execution of the Subcontracting Agreement by the Company.

Any technical specification of the Subcontracting Agreement applying to the Company has been specified in the contract concluded by the General Contractor with the Ordering Party.
