Conclusion of a Contract by Subsidiary company.

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17 informs, that today it obtained an information from the subsidiary company operating under the company name TORPOL S.A. on signing by TORPOL S.A. a and the Consortium of companies: Bank Gospodarstwa Krajowego with its registered office in Warsaw (hereinafter referred to as “BGK”) and Bank Zachodni WBK S.A. with its registered office in Wrocław (hereinafter referred to as “BZWBK”) of a Contract for Special-purpose, revolving Credit, in the amount of PLN 40,000,000 and a Contract for Order of issuing a consortium guarantee up to the maximum amount of PLN 159,747,397.26 in order to finance and provide a performance bond of the Contract No. 90/130/0012/12/Z/I for “Designing and execution of construction works for the Modernisation of the railway line E75 Rail Baltica along the section Warsaw - Białystok - the border with Lithuania, the first stage, Warsaw - Rembertów - Zielonka - Tłuszcz (Sadowne) POIiŚ – 7.1-22.1”.

The share of BGK and BZWBK in financing and consortium guarantee is equal. The terms for releasing the credit, issuing a guarantee, performance bond of the contracts and the amount of commission have been agreed upon on market terms.

The value of the POLIMEX-MOSTOSTAL S.A. equity capital has been assumed to be the criterion for considering the Contract to be material.
