Conclusion of contract pertaining to the disposal of real property by the Company
The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17 (“the Company”) informs of concluding on 8 April 2014 by the Company as a seller with Ghelamco GP 1 Spółka
z ograniczoną odpowiedzialnością Tilia Spółka komandytowo-akcyjna as a buyer of a sale contract of (i) the perpetual usufruct right to the land being a record parcel no. 24/5 located in Warsaw at ul. Elektryczna no. 2A of the area of 999.00 m2 and (ii) the ownership right to the building located on that land, which is a separate real property marked by no. 2A at ul. Elektryczna in Warsaw, for which the District Court for Warsaw-Mokotów in Warsaw, X Land and Mortgage Register Division maintains a land and mortgage register Kw. no. WA4M/00234465/1 for the total gross price of PLN 10,701,000 which encompasses (i) the price of the perpetual usufruct right in the amount of PLN 5,104,500.00, (ii) the gross price of the building in the amount of PLN 5,596,500.00 (“Sale Contract”).
According to the Sale Contract, the Company received a part of the price in the amount of PLN 246,000.00 before concluding the Sale Contract, yet the remaining part of the price i.e. PLN 10,455,000.00 was paid out of notarial deposit to the loan account of the Company. The subjects of the Sale Contract shall be released to the Buyer until 9 April 2014.
Pursuant to the Sale Contract, the Company is also obliged to conclude the contract, pursuant to which the proprietary copyrights will be transferred to the Buyer together with the derivative rights to the projects related to extension of the building being the subject of the Sale Contract.
The conclusion of the Sale Contract is an element of operational restructuring realisation, of which the Company informed in current report no. 130/2012 dated 22 December 2012 on conclusion with financial creditors of the Agreement on the principles of managing the financial debt of the Company and constitutes performance of the Company's liabilities resulting from the annex to the Agreement on managing the financial debt, of which the Company informed in detail in current report no. 150/2013 dated 25 October 2013.
