Conclusion of the agreement of transfer of the right of perpetual usufruct
With reference to the current report no. 124/2014 dated 26 August 2014 the Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw ("the Company") at ul. Młynarska 42, informs that on 17 October 2014 was concluded between the Company as a Seller and Molina spółka z ograniczoną odpowiedzialnością S.K.A. as a Buyer an agreement of the transfer of the right of perpetual usufruct of the property and the ownership of buildings constituting objects of property separated from land located in Ostrołęka at the corner of Elektryczna and energetyczna for which the District Court for Ostrołęka VI Land and Mortgage Register Division maintains a land and mortgage register KW Nr OS1O/00040968/6.("Transfer agreement”). The Transfer agreement was concluded as a result of conclusion of the Conditional Contract of Sale dated 19 September 2014 (“Conditional contract”) which was concluded between the Company and a Buyer after termination of the primary conditional contract dated 25 August 2014 (“Primary conditional contract”).
The Transfer agreement was concluded due to satisfaction of all conditions described in the Conditional Contract similar to the conditions comprised in the Primary conditional contract, except for the condition consisting in disclosure in the land and mortgage register regarding the ownership of buildings constituting objects of property separated from land. The Buyer resigned from fulfilling this condition.
Pursuant to the Conditional contract and the Transfer agreement, the total gross price amounts to PLN 3,444.000.
