Conclusion of an agreement to make a contribution in kind of an organised part of the enterprise

Legal basis: Article 17(1) of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC

The Management Board of "Polimex-Mostostal" SA having its registered office in Warsaw (hereinafter referred to as the "Company") informs that, on 30 June 2017, the Company signed an agreement to make a contribution in kind of the organised part of the enterprise under the name Zakład Konstrukcji Stalowych in Rudnik nad Sanem to its subsidiary under the business name Mostostal Siedlce spółka z ograniczoną odpowiedzialnością spółka komandytowa having its registered office in Siedlce in exchange for the increase of the value of share of  "Polimex-Mostostal" SA in this company.

The transaction was approved by the General Meeting of the Company on 9 March 2017 as announced by the Company in current report no. 29/2017.

The transaction is related to the continued optimisation of the structure of the Capital Group and its aim is to allocate production activity to the organisational structures of Mostostal Siedlce spółka z ograniczoną odpowiedzialnością spółka komandytowa.

The object of economic activity of Zakład Konstrukcji Stalowych in Rudnik is the manufacture of steel structures, mainly for the purposes of industry and the energy sector. The value of the transaction amounts to more than 20 million zlotys.
