Changes to the status of share ownership of the Issuer

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Młynarska 42 informs, that today it received from SPV Operator Sp. z o.o. with its registered office in Katowice, the entity comprising the Capital Group of Agencja Rozwoju Przemysłu S.A. with its registered office in Warsaw (hereinafter referred to as “the Operator”) acting in accordance with Article 69 of the Act of 29 July 2005 on public offering and the conditions for introducing financial instruments to the organised trading system, and on public companies - a notification of change in the Operator’s share in the total number of votes at the General Meeting of the Company.

The reason for the change of share in the total number of votes at the General Meeting of the Company was registration of the increase of the share capital of the Company on 22 October 2014 (current report no. 160/2014 dated 23.10.2014) through issuing 2,863,571,852 series R ordinary bearer shares of the nominal value of PLN 0.04 each. Consequently, the share capital of the Company amounts to PLN 173,237,605.68 and is divided into 4,330,940,142 shares which entitle to 4,330,940,142 votes at the General Meeting of the Company.

In view of the above, the Operator's share in the share capital and the number of votes at the General Meeting of the company, with the permanent ownership of 300,000,001 shares, has decreased from 20,44% to 6,92%.
