Changes to the status of share ownership of the Issuer

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Młynarska 42 (“the Company”) informs that today the Company received from Powszechna Kasa Oszczędności Bank Polski S.A. with its registered office in Warsaw (herein after referred to as “the Bank”) acting pursuant to Article 69 sec. 1 (1) and (4) in conjunction with Article 87 of the Act on public offering and the conditions for introducing financial instruments to the organised trading system, and on public companies - a notification of increase of investment to the level of 28,612% of the total number of votes at the General Meeting of the Company.

On 23.10.2014 the Bank obtained the information on registering the share capital of the Company due to issuing series R shares subscribed for by the Bank in the course of private subscription.

Prior to the change of share the number of the company’s shares owned amounted to 31 418 355, which constituted 2,141% of the Company’s share capital and entitled in total to 31 418 355 votes at the General Meeting of the Company, which constituted 2,141% of the total number of votes at the General Meeting of the Company.

Including:

- Bankowe Towarzystwo Kapitałowe S.A. owned 31 235 304 Company’s shares which constituted 2,128% of the Company’s share capital and entitled in total to 31 235 304 votes at the General Meeting of the Company which constituted 2,128% of the total number of votes at the General Meeting of the Company.

- PKO Życie Towarzystwo Ubezpieczeń S.A. owned 183 051 Company’s shares which constituted 0,012% of the Company’s share capital and entitled in total to 183 051 votes at the General Meeting of the Company which constituted 0,012% of the total number of votes at the General Meeting of the Company.

As of 27 October 2014, i.e. the day of notifying about the change of share in the total number of votes at the General Meeting of the Company, the number of the company’s shares owned amounts to 1 239 224 697 which constitutes 28,612% of the Company’s share capital. The number of votes from the owned shares amounts to 1 239 244 697 votes at the General Meeting of the Company which constitutes 28,612% of the total number of votes at the General Meeting of the Company.

Including:

- The Bank owns 1 207 191 622 Company’s shares which constitutes 27,873% of the Company’s share capital. The shares owned by the Bank constitute 1 207 191 622 votes at the General Meeting of the Company which constitutes 27,873% of the total number of votes at General Meeting of the Company.

- Bankowe Towarzystwo Kapitałowe S.A. owns 31 850 024 Company’s shares which constitutes 0,735% Company’s share capital. The number of votes from the owned shares amounts to 31 850 024 votes at the General Meeting of the Company which constitutes 0,735% of the total number of votes at the General Meeting of the Company.

- PKO Życie Towarzystwo Ubezpieczeń S.A. owns 183 051 Company’s shares which constitutes 0,004% Company’s share capital. The number of votes from the owned shares amounts to 183 051 votes at the General Meeting of the Company which constitutes 0,004% of the total number of votes at the General Meeting of the Company.

The Bank informs that within 12 months from filing this notification it does not anticipate an increase of share in the total number of Company’s votes.
