Changes to the ownership structure of the Company’s shares

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17 informs that on 24 March 2011 the Company received from Pioneer Pekao Investment Management S.A., acting pursuant to Article 69 (1) (1) of the Act on Public Offer and Conditions of Organised Trade in Financial Instruments, and on Public Companies, a notification on behalf of Pioneer Fundusz Inwestycyjny Otwarty of an increase of the Fund’s investment to the level of 10.007% of the total number of votes at the General Meeting of Polimex-Mostostal S.A.

The reason for the change to the participation in the total number of votes at the General Meeting of Polimex-Mostostal S.A. was the acquisition on 17 March 2011 of the Company’s shares.

Prior to the change, Pioneer Fundusz Inwestycyjny Otwarty owned 51,348,285 shares of Polimex-Mostostal S.A., which constituted 9.86% of the Company’s business capital and entitled in total to 51,348,285 votes at the General Meeting of Polimex-Mostostal S.A., which constituted 9.86% of the total number of votes at the General Meeting of the Company.

As of 24 March 2011, i.e. as of the date of development by Pioneer Pekao Investment Management S.A., on behalf of Pioneer Fundusz Inwestycyjny Otwarty, of the notification of the increase of the current participation in the total number of votes at the General Meeting of Polimex-Mostostal S.A., Pioneer Fundusz Inwestycyjny Otwarty owns 52,139,059 shares of Polimex-Mostostal S.A., which constitutes 10.007% of the Company’s business capital.

Shares owned by the Fund entitle to 52,139,059 votes at the General Meeting of Polimex-Mostostal S.A., which constitutes 10.007% of the total number of votes at the General Meeting of the Company.

In accordance with the content of the notification provided, further investment-related decisions will be taken based on the fundamental analysis of the Company, and the purchase or sale decisions may also be affected by inward and outward payments made by the clients of the Funds. The investment in Polimex-Mostostal S.A. serves the purpose of increasing the value of portfolios managed by Pioneer Pekao Investment Management S.A.
