Approval of the prospectus of TORPOL S.A.

The Management Board of Polimex-Mostostal S.A. with the registered office in Warsaw at ul. Czackiego 15/17 (“the Company”) informs that on 13 June 2014 the Financial Supervision Commission (KNF) issued the decision on the approval of the prospectus of the subsidiary company TORPOL S.A. developed in relation to public offering of 1 to 7,400,000 series B ordinary bearer shares of the Company (“Series B shares”) and of up to 15,570,000 series A shares of the Company offered by the Sellling Shareholder (“Shares for Sale”) of the nominal value of PLN O,20 each (jointly referred to as “Offered Shares”) and to the application for admission to and trading on the regulated market (main market) maintained by Giełda Papierów Wartościowych (Warsaw Stock Exchange) of 15,570,000 series A Shares, from 1 to 7,400,000 series B Shares and from 1 to 7,400,000 Rights to Series B Shares.
