Appointment of commercial proxies

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17 hereby informs that on 26 October 2011 it adopted resolutions on granting an independent commercial proxy to:

1)   Mr Paweł Kucharski

Higher education - Master of Science, a graduate of the Warsaw University of       Technology.  Project Manager Certificate according to IPMA.

05.2010 - 08.2011             - Manager of Steel Products Division Polimex-Mostostal S.A.,

08.2011                            - Director of Steel Products Division Polimex-Mostostal S.A.,

He does not conduct any business activity competitive to the activity of the Issuer.

He is not listed in the Register of Insolvent Debtors maintained pursuant to the provisions of  the Act on the National Court Register.

2)   Mr Marek Szymczak

Higher education - Master of Science, a graduate of the Technical University of Łódź - Chemical Engineering.

He does not conduct any business activity competitive to the activity of the Issuer.

He is not listed in the Register of Insolvent Debtors maintained pursuant to the provisions of the Act on the National Court Register.

At the same time, the Management Board of the Issuer has revoked the independent commercial power granted to
Mr Marek Łygan.
