Adoption of a resolution by the KDPW S.A. (National Depository for Securities) on registration of ordinary bearer stocks of series K and series L, and on the appointment of the Reference Day.

The Management Board of Polimex-Mostostal S.A. informs that on 11 January 2011, The Management Board of the National Depository for Securities adopted resolution no. 27 in which it decided to receive a depository of securities comprising 56,562,578 (fifty-six million five hundred sixty-two thousand five hundred seventy-eight) ordinary bearer stocks of Polimex-Mostostal S.A., including: - 38.733.090 (thirty-eight million seven hundred thirty three thousand ninety) series K ordinary bearer stocks of the nominal value of PLN 0.04 (four grosz) each, out of which 29,710,610 (twenty-nine million seven hundred ten thousand six hundred ten) stocks have been registered as a result of allotment of the stock of Polimex-Mostostal S.A. executed in accordance with § 153 of the Detailed Rules of Operation of the National Depository for Securities by means of exchange of the stock of Energomontaż-Północ S.A. for the stock of Polimex-Mostostal S.A. at the 1:3.62 rate, - 17,829,488 (seventeen million eight hundred twenty-nine thousand four hundred eighty-eight) series L ordinary bearer stocks of the nominal value of PLN 00.04 (four grosz) each, all of which have been registered as a result of allotment of the stock of Polimex-Mostostal S.A. executed in accordance with § 153 of the Detailed Rules of Operation of the National Depository for Securities by means of exchange of the stock of Naftobudowa S.A. for the stock Polimex-Mostostal S.A. at the 1:6.04 rate, and to assign the aforementioned stock the PLMSTSD00019 code on condition that the company managing the regulated market takes a decision on admission of the stock to trading on the regulated market to which other stock of Polimex-Mostostal S.A. assigned the PLMSTSD00019 code have been admitted. The Reference Day provided for in § 153 of the Detailed Rules of Operation of the National Depository for Securities for the allotment purposes shall be 1 January 2011.
