Signing of an Annex to the Framework Agreement with RBS Bank (Polska) S.A.

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17, with reference to the current report No. 30/2011 published on 17 May 2011 informs that on 26 January 2012 it received, signed by RBS Bank (Polska) S.A. and subsidiary companies: Energop Sp. z o.o. and Energomontaż-Północ Gdynia Sp. z o.o., the Annex No. 3 to the Framework Agreement concerning rules of granting guarantees by the Bank and opening letters of credit.

Based on the Annex signed the Parties have agreed to lower the amount of limit, granted to Polimex-Mostostal S.A. within the aforementioned Agreement, from PLN 200,000,000.00 to the amount of PLN 150,000,000.00 whereas the sublimits granted to the Companies: Energop Sp. z o.o. and Energomontaż-Północ Gdynia Sp. z o.o. remain on the unchanged level.

The remaining terms and conditions of the Agreement have not been changed.

The value of the Issuer's equity capital has been assumed to be the criterion for considering the Contract to be material.
