Conclusion with BGŻ S.A. of a contract regarding a guarantee, warranty and credit line, and of an annex to the agreement for overdraft for working capital

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17 informs that on 18 July 2011 it received, as signed by Bank Gospodarki Żywnościowej S.A., the Contract regarding a guarantee, warranty and credit line, and an Annex no. 4 to the Agreement for overdraft for working capital.

As a part of the aforementioned guarantee, warranty and credit line, Polimex-Mostostal S.A. will issue bank guarantees up to the amount of PLN 115,000,000.00. The line shall remain available until 31 May 2012. This Agreement shall supersede the current guarantee and warranty line agreement with the limit of PLN 85,000,000.00 which expired on 15 July 2011.

Annex no. 4 to the Agreement for overdraft for working capital shall extend the term of its repayment until 30 May 2012, and shall increase the amount of credit from PLN 25,000,000.00 to PLN 35,000,000.00.

Securities of the aforementioned Agreement, the amount of commission and charges have been agreed upon on market terms.

The value of the Issuer's equity capital has been assumed to be the criterion for considering the Contract to be material.
