Conclusion of a material contract by a subsidiary company of the Issuer

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17 informs that on 24 August 2011 it concluded a contract with Spółka Stadion in Zabrze Sp. z o.o.

The subject matter of the Contract is modernisation of Ernst Pohl stadium in Zabrze – stage I.

Value of the contract amounts to: PLN 156,503,945.56 net.

Execution period – from 24 August 2011 to 23 April 2013.

Contract performance bond: 10% of the total contract value in gross amount (PLN 19,249,985.30) valid until 23 April 2013.

Retention bond: 3% of the total contract value in gross amount (PLN 5,774,995.59), valid until the date of termination of the 3-year statutory warranty, i.e. until 23 April 2016.

Contractual penalties: for delays in the performance of the Contract the Contractor shall pay the Investor a penalty amounting to 0,1% of the total contract value in gross amount per day of delay.

The value of the Issuer’s equity capital has been assumed to be the criterion for considering the agreement to be material.
