Appointment of a commercial proxy

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17 hereby informs that on 4 November 2011 it adopted a resolution on granting an independent commercial proxy to Mr Dariusz Franciszek Badej.Higher education - Master of Science in mechanical Engineering, a graduate of  the Silesian University of Technology in Gliwice,   the European Welding Engineer Certificate, Certificate of the Polish Centre for Testing and Certification and EOQ Quality Auditor.

07.1992 – 01.1995 - ZNPW S.A. in Rybnik - Construction Engineer;

02.1995 - 11.1997 - EPE - Rybnik Sp. z o.o. - Manager of the Welding and Quality Control Department,

12.1997 - 04.2002 - EPE - Rybnik Sp. z o.o. - Quality Representative and Manager of the Quality Control Department,

05.2002 - 04.2007 - EPE - Rybnik Sp. z o.o. - Production Manager, Chief Welding Engineer,

05.2007 - 12.2010 - EPE - Rybnik Sp. z o.o. - Production Manager, Member of the Management Board,

01.2011 – 09.2011 - Polimex–Mostostal S.A., EPE Rybnik Division - Deputy Plant Director,

10.2011 -               Polimex–Mostostal S.A., EPE Rybnik Division - acting Plant Director. 

           He does not conduct any business activity competitive to the activity of the Issuer.

He is not listed in the Register of Insolvent Debtors maintained pursuant to the provisions of the Act on the National Court Register.

Furthermore, on 4 November 2011the Management Board of the Issuer has revoked the independent commercial power granted to Mr Bernard Ruczka.
