Confidential information - Creditors’ consent to postpone the deadline for performance of certain obligations

With reference to current report no. 48/2014 dated 30 April 2014 with regard to breach by "Polimex-Mostostal" S.A. with its registered office in Warsaw of Agreement dated 21 December 2012 concluded by "Polimex-Mostostal" S.A. with its registered office in Warsaw (“the Company”) with the banks and bondholders (“Creditors”) specifying terms and conditions of financing the Company by the Creditors (“Agreement”) consisting in failure of the Company to make due payment for the Creditors being the party to the Agreement, the Management Board of the Company informs that on 6 May 2014 it obtained the information on the all Creditors’ consent for postponing the deadline of (i) interest on credits covered by the Agreement, (ii) interest on receivables of bondholders covered by the Agreement and (iii) recourse claims due to the guarantees issued by the banks being party to the Agreement. The company has been obliged by the Creditors perform the abovementioned obligations until 3 June 2014 on the terms corresponding to those specified by the Company in the current report 30/2104 dated 14 February 2014.

At the same time, the Company informs that said Creditors’ consent for postponing the deadline for making payments by the Company for the Creditors also comprises: (i) the obligations of the Company arising from the abovementioned issues, the payment of which was due 30 April 2014 as well as (ii) the obligations of the Company arising from the abovementioned issues, the payment of which would become due and payable, pursuant to the provisions of the Agreement concluded between the Company and the Creditors, in the period between 30 April 2014 and 3 June 2014.

The above-mentioned consent of the Creditors was granted save for condition subsequent which shall materialize in case of failure to deliver by the company a contract document specified by the Creditors until 15 June 2014.
