Confidential information - breach of material Agreement

With reference to the current report no. 130/2012 of 21 December 2012 on the conclusion by Polimex-Mostostal S.A. (the “Company”) with banks and bondholders (the “Creditors”) of agreement specifying the terms and conditions of financing the Company by the Creditors (the “Agreement”), as well as current report no. 150/2013 with regard to conclusion by the Company of the Annex 4 to the Agreement (the “Annex”), the Management Board of the Company informs that in the light of provisions of the Agreement, on 14 May 2014 there was a breach of the Agreement.

The breach of the Agreement consisted in failure to maintain by the Company as of 31 March 2014 one of the financial indicators provided for in the Agreement at the level required by the Agreement.

The most significant result of occurrence of said breach of the Agreement is the likelihood of termination of the Agreement by the Majority Creditors.

The Company informs that it has submitted to the financial creditors - arties to the Agreement - a petition for revocation of the breach of the Agreement described in this current report.
