Changes to the structure of shares ownership of the Company

The Management Board of Polimex-Mostostal S.A. (hereinafter referred to as "the Company") with its registered office at ul. Czackiego 15/17 informs that it received from ING Powszechne Towarzystwo Emerytalne S.A. a notification of a decrease of ING Otwarty Fundusz Emerytalny (hereinafter referred to as “Fund”) in involvement in the total number of votes at the General Meeting of the Company (legal basis Article 69 of the Act on Public Offering of 29 July 2005).

The reason for the change to the structure of shares ownership within the total number of votes at the General Meeting of the Company was a disposal on 6 June 2014 of the Company’s shares. The Fund decreased its involvement in the total number of votes at the General Meeting of the Company to less than 5%.

Prior to disposal of the shares, the Fund owned 74,136,520 (seventy four million one hundred and thirty-six thousand five hundred and twenty) shares of the Company, which constituted 5.05% of the business capital of the Company and entitled to 74,136,520 (seventy four million one hundred and thirty-six thousand five hundred and twenty) votes at the General Meeting of the Company which constituted 5.05% of the total number of votes at the General Meeting of the Company. 

Following conclusion and settlement of the transaction provided for as of 12 June 2014, the Fund owns 
65,211,420 (sixty five million two hundred and eleven thousand four hundred and twenty) shares of Polimex-Mostostal S.A., which constitutes 4,44% of the Company’s business capital and entitles in total to 65,211,420 (sixty five million two hundred and eleven thousand four hundred and twenty) votes at the General Meeting of Polimex-Mostostal S.A., which constitutes 4,44% of the total number of votes at the General Meeting of the Company.
