Disposal of Polimex-Mostostal S.A. shares to SPV Operator Sp. z o.o.

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Młynarska 42 ("the Company") informs that today it has received information that Agencja Rozwoju Przemysłu S.A. with its registered office in Warsaw ("ARP S.A.") disposed to SPV Operator Sp. z o.o. with its registered office in Katowice ("SPV Operator") 300,000,001 shares of the Company, which constitute 20,44% of the share capital of the Company and give the right to 20,44% of the total number of votes on the Company's general meetings. The disposal of shares took place via a transaction outside of the regulated market on 29 August 2014.

ARP S.A. is no longer a shareholder of the Company. SPV Operator is a member of the ARP S.A. capital group and after the transaction currently owns 300,000,001 shares of the Company, which constitute 20,44% of the share capital of the Company and give right to 20,44& of the total number of votes on the Company's general meetings. Prior to the transaction SPV Operator did not own the Company's shares; neither does it own subsidiaries which own the Company's shares. SPV Operator does not intend to reduce its number of shares of the Company in the next 12 months.
