Registering some of the additional securities on receivables resulting from the Issuer’s bonds Legal

With reference to the current report no. 155/2014 dated 16.10.2014 The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw (“the Company”) at ul. Młynarska 42 informs that today it obtained information that the following additional securities were registered on all cash receivables resulting from new A series convertible bearer bonds (“Additional Securities on Bonds”) of the total nominal value of PLN 81,500,000 and series B ordinary bearer bonds of the total nominal value of PLN 58,500,000, issued on 1 October 2014 (i.e. in particular payment of the purchase amount, of any interest, collection costs and any other related costs, charges, commissions and accessory claims):

1)    registered pledge on shares in Polimex Hotele Sp. z o.o. with its registered office in Warsaw, at ul. Młynarska 42, 01-171 Warsaw, for Agencja Rozwoju Przemysłu S.A. ("the Pledgee"). The registered pledge involves 400 shares in Polimex Hotele Sp. z o.o. of the nominal value PLN 9.587 each, with the total nominal value PLN 3,834,800, constituting 100% of the share capital. The maximum value of the security amounts to PLN 210,000,000. The abovementioned pledge was registered on the basis of the decision of the District Court for the Capital City of Warsaw in Warsaw, XI Commercial Division - Pledge Registry, issued on 30.10.2014. The Company owns 100% of the share in the share capital and in the number of votes at the General Meeting of Polimex Hotele Sp. z o.o.

2)    registered pledge on the cash receivable resulting from the bank account maintained in Bank Ochrony Środowiska S.A. under no. 43 1540 1157 2115 4668 5788 0001 (PLN), for the Pledgee. The registered pledge secures the cash receivable at the bank account belonging to Polimex Energetyka Sp. z o.o. with its registered office in Warsaw, at ul. Młynarska 42, 01-171 Warsaw ("the Subsidiary"). The value of the subject of the security amounts to PLN 0 and the interest rate is 0.00%.

The maximum value of the security amounts to PLN 210,000,000. The abovementioned pledge was registered on the basis of the decision of the District Court for the Capital City of Warsaw in Warsaw, XI Commercial Division - Pledge Registry, issued on 30.10.2014.

3)    registered pledge on the cash receivable resulting from the bank account maintained in Bank Polska Kasa Opieki S.A. under no. 88 1240 6292 1978 0010 5944 6313 (EUR), for the Pledgee. The registered pledge secures the cash receivable at the bank account belonging to the Subsidiary. The value of the subject of the security amounts to PLN 0 and the interest rate is 0.00

4)    registered pledge on the cash receivable resulting from the bank account maintained in Bank Polska Kasa Opieki S.A. under no. 48 1240 6292 1111 0010 5949 1935 (PLN), for the Pledgee. The registered pledge secures the cash receivable at the bank account belonging to the Subsidiary. The value of the subject of the security amounts to PLN 0 and the interest rate is 0.00

5)    registered pledge on the cash receivable resulting from the bank account maintained in Bank Powszechna Kasa Oszczędności Bank Polski S.A. under no. 31 1020 1026 0000 1102 0243 1047 (USD), for the Pledgee. The registered pledge secures the cash receivable at the bank account belonging to the Subsidiary. The value of the subject of the security amounts to PLN 0 and the interest rate is 0.00%. The maximum value of the security amounts to PLN 210,000,000. The above mentioned pledge was registered on the basis of the decision of the District Court for the Capital City of Warsaw in Warsaw, XI Commercial Division - Pledge Registry, issued on 30.10.2014.

6)    registered pledge on the cash receivable resulting from the bank account maintained in Bank Zachodni WBK S.A. under no. 61 1090 2590 0000 0001 2409 6334 (PLN), for the Pledgee. The registered pledge secures the cash receivable at the bank account belonging to the Subsidiary. The value of the subject of the security amounts to PLN 0 and the interest rate is 0.00
