Registering some of the additional securities on receivables resulting from the Issuer’s bonds Legal

With reference to current report no. 155/2014 dated 16.10.2014, The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Młynarska 42 ("the Company") hereby informs that on 12 November 2014 it obtained the information that an additional security had been registered on receivables resulting from the Issuer's series A convertible bearer bonds of the total nominal value of PLN 81,500,000 and series B ordinary bearer bonds of the total nominal value of 58,500,000, issued on 1 October 2014 (“Additional securities on bonds”):

1)    registered pledge on shares in StalFa Sp. z o.o. with its registered office in Sokołów Podlaski, at ul. Oleksiaka Wichury 2, 08-300 Sokołów Podlaski, for Agencja Rozwoju Przemysłu S.A. ("the Pledgee"). The registered pledge involves 49,847 shares in StalFa Sp. z o.o. of the nominal value PLN 100 each, with the total nominal value PLN 4,984,700, consituting 100% of the share capital.

 The maximum value of the security amounts to PLN 210,000,000. The abovemention pledge was registered on the basis of the decision of the District Court for the Capital City of Warsaw in Warsaw, XI Commercial Division - Pledge Registry, issued on 30.10.2014. The Company owns 100% of the share in the share capital and in the number of votes at the General Meeting of StalFa Sp. z o.o.

There are no links between the Company, its Managers or Supervisors and the Pledgee, its Managers or Supervisors.
