Submission of the statement of counterclaim against the Company

With reference to current report no. 31/2014 dated 18 February 2014, the Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Młynarska 42 (“the Company”, “the Issuer”) informs that yesterday it obtained from a litigation attorney a statement of counterclaim filed by the State Treasury represented by Generalny Dyrektor Dróg Krajowych i Autostrad (the General Directorate of National Roads and Motorways) (“GDDKiA”) against a consortium of the companies: Polimex-Mostostal S.A., Doprastav a.s., MSF Engenharia S.A. and MSF Polska Sp. z o.o. The value of the object of litigation amounts to PLN 192,611,293.57 (one hundred and ninety-two million six hundred and eleven thousand two hundred and ninety-three zlotys 57/100) together with statutory default interest applied from 1 November 2014 up to the date of payment. The object of the counterclaim is the demand of the State Treasury GDDKiA for payment of a contractual penalty for the GDDKiA’s withdrawal from the contract, for payment of statutory interest on that sum, for payment of a contractual penalty for failure to carry out specific construction works, and for payment of receivables for recourse claims regarding the payment of remuneration by GDDKiA to the Issuer’s suppliers.

The Issuer contests the legitimacy of the claims from GDDKiA in whole.

Legal basis: § 5 sec. 1 (8) and § 14 of the Ordinance of the Minister of Finance dated 19 February 2009 on current and periodic information provided by issuers of securities and terms of deeming information required by the regulations of a non-Member State equivalent.
