Information on registration of the amendments to the Articles of Association

The Management Board of Polimex-Mostostal S.A. (the “Company”, ”the Issuer”) informs that it obtained from the Issuer’s proxy the information on issuing by the District Court for the Capital City of Warsaw, XII Commercial Division of the National Court Register, a decision pursuant to which the amendments to § 7 and § 44 (2) of the Articles of Association of the Company were registered in the register of entrepreneurs.

Before the amendment, the wording of § 44 was the following:

Resolutions of the Management Board shall be adopted by majority of votes cast by present members. In the case of an equal number of votes - the vote of the President of the Management Board is the casting vote.

After adding sec. 2, the wording of § 44 is the following:

Ԥ 44.

1.    Resolutions of the Management Board shall be adopted by majority of votes cast by present members. In the case of an equal number of votes - the vote of the President of the Management Board is the casting vote.

2.    The Management Board may adopt resolutions in writing or with the application of means of direct remote communication (telephone, teleconference, e-mail, and other technical means).’
