Amendment of a conditional sale contract

With reference to current report no. 203/2014 dated 05.12.2014, The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Młynarska 42 („Company”) informs that on 31 March 2015 the conditional sale contract between the Company’s subsidiary, Naftoremont – Naftobudowa spółka z ograniczoną odpowiedzialnością, as the Seller and „Invest-Active” spółka z ograniczoną odpowiedzialnością as the Buyer, was amended.The subject matter of the contract is an undeveloped property located in Warsaw, in the Śródmieście district, for which the District Court for Warsaw-Mokotów in Warsaw, X Land and Mortgage Register Division maintains a land and mortgage register KW No. WA4M/00235779/2 ("Real Property”), where the Real Property constitutes the subject matter of the contract (“Conditional Contract”).

Due to the fact that the statutory and the contractual terms were met, but the total price was not paid by the buyer to the escrow account, the Seller and the Buyer have decided to amend the Conditional Contract, i.e. change the final date of conclusion of the Promised Contract to 30 April 2015 at the latest.
