Conclusion of a material contract

The Management Board of Polimex-Mostostal S.A. with its registered office in Warsaw at ul. Czackiego 15/17, with reference to the current report no. 44/2011 published on 13 July 2011, informs that on 31 August 2011 the Company concluded a contract with the Municipal Administration of Roads and Bridges in Tychy with respect to general contractorship of construction works to be executed as part of the Project named ‘Reconstruction of National Road 1 and 86 Gdańsk – Cieszyn within the city limits of Tychy –section of the national road 1-1 km 0+000 to 5+656 and section of the national road-86 km 27+448 to 28+648’.

Remuneration regarding execution of the subject matter of the Contract amounts to PLN 149,862,392.97 gross (PLN 121,839,343.88 net).

The Parties agreed that the total amount of contractual penalties due to failure to perform the subject matter of the Contract on time may not exceed 10% of gross contractual remuneration.

The value of the Issuer's equity capital has been assumed to be the criterion for considering the Contract to be material.
